TERMS In these Conditions and throughout this web site, all references to: - the Company are to External Quality Management Ltd of Kingsway House, 194 Athelstan Road, Southampton, SO19 4DJ,United Kingdom. - the Customer are to either fully paid up Subscribers to the service or to Visitors who have successfully downloaded at least one document from this site - the Standards are the standards as listed in the "BSI" area of thie site - the site are to this web site, namely http://www.buystandardsonline.com - the Initial Term is the 12 months immediately following the first registration of a Customer as a Subscriber to this site
CONDITIONS
Condition 1 British Standards are reproduced within this site with the permission of the British Standards Institution (BSI) under licence number 2009ET0021. Copyright subsists in all BSI publications. Except as permitted under the UK Copyright, Designs and Patents Act 1988, no British Standard either in part or whole, may be reproduced, stored in a retrieval system, or transmitted in any form or by any means, without prior permission of BSI. British Standards can be obtained in PDF or hard copy formats from the BSI online shop: www.bsigroup.com/Shop or by contacting BSI Customer Services for hard copies only: Tel: +44 (0)20 8996 9001, Email: cservices@bsigroup.com.
Condition 2 Customers thst obtain their copies of the standards by paying full price for them not as Subscribers but as Visitors to this site agree to use them in accordance with the BSI copyright integral with each such document. Subscribers herby agree to comply with these Terms and Conditions when downloading and using the standards.
Condition 3 On Payment of the Subscription Fees, the Customer is granted a non exclusive, no transferable, recoverable, access-limited and use-limited licence for the Initial Term to use the “British Standards Online Service” containing the Standards only for the Customer’s internal business use at the address registered during the Subscription Registration process and under the authorized access restrictions set forth herein.
Condition 4 Each Customer may print one hard copy of any Standard within the subscription for internal business use provided such print contains a copyright notice “Copyright BSI Date (where date is in the date of copyrighted material)” . These copies may not be used to build up a hard copy reference collection. A hard copy reference collection is defined as a collection comprising more than 10% of the number of Standards within each module. Such licensed copies must be destroyed on expiry and subsequent non-renewal of the relevant subscription.
Condition 5 The Customer may not copy, transfer, sell, licence, lease, give, download, decompile, reverse engineer, disseminate, publish, assign (whether directly or indirectly, by operation of law or otherwise), transmit, scan, publish on a network, or otherwise reproduce, disclose or make available to others or create derivative works from, the Standards or any portion thereof.
Condition 6 The Customer must not remove any propriety legends or markings, including copyright notices, electronically encoded information, watermarks or any BSI-specific markings, nor incorporate or attach the Customer’s own logos or markings on the Standards.
Condition 7 The Company will issue the Customer a password to access the Standards from this site, which the Customer acknowledges is only for its own use and may not be shared with anyone other than the Customer’s employees and only at the address disclosed during the Registration process. The Customer is solely responsible for all use, authorized or unauthorized, of the Standards (including use by the Customer’s employees). The Customer must notify the Company immediately of any unauthorized use of the Standards and / or password.
Condition 8 The Customer shall not download, print or otherwise use the Standards in any location except the address disclosed during the Registration process.
Condition 9 If the Company determines that the Customer has allowed or committed access in breach of these Conditions, than the Company may terminate, restrict or limit access to the Standards, or charge additional Subscription Fees, for which the Customer will be solely responsible to pay.
Condition 10 The Subscription Fees are payable yearly in advance on the same dates and in the same manner as the fees payable in respect of initial registration. The Subscription Fees are for use of the Standards for the Initial Term only. The fees payable for any subsequent 12 month period will be clearly indicated to the returning Subscriber prior to their payment
Condition 11 If the Customer wants to use the Standards at locations other than the address notified during the Registration process, they must obtain an additional Subscription stating the address at which the standards will be used. These Terms and Conditions will apply to the new Subscription in their entirety
Condition 12 The Customer will fully indemnify, defend and hold the Company harmless from any claim, demands, liabilities, costs or expenses of any kind arising out of the Customer\’s breach of these Conditions, including without limitation, the BSI Licence terms and restrictions.
Condition 13 So long as the Customer is not in breach of these Conditions or the BSI Licence and continues to pay the Subscription Fees, these Conditions will renew for successive renewal terms equal in length to the Initial Term.
Condition 14 The Company may terminate these Conditions with 10 days prior written notice in the following circumstances:
- The Customer’s failure to pay any amounts owed or owing to the Company
- The Customer’s breach of any provision of these Conditions, the BSI Licence or any law, rule or regulation governing the Standards
Condition 15 The Company may terminate or suspend these Conditions without notice or the Registration of The Customer is terminated for any reason
Condition 16 Either party has the right, in its sole discretion, not to renew this Subscription after the initial term or at the end of any renewal period, by giving to the other at least 45 days written notice of its intent not to renew. the Company will not be liable to the Customer for any damages, indemnities, compensation, or any other payment of any kind by reason of such expiration and non-renewal of these Conditions or otherwise its termination for any reason.
Condition 17 Upon expiration or termination of these Conditions and the BSI Licence for any reason, the Customer will - 17.1 discontinue all use of the Standards - 17.2 destroy any items relating to Standards (including but not limited to data, software, and documentation) and - 17.3 provide written notice to the Company certifying that the Customer has complied with this clause. |
